Alaio Vibecode — Terms of Service

Attention! BY ACCESSING OR USING THE ALAIO VIBECODE (THE “VIBECODE”) PROVIDED BY ALAIO, YOU HEREBY ACCEPT THESE TERMS OF SERVICE AND THE PRIVACY POLICY. Before you start using the Vibecode, please read these Terms of Service carefully. If you do not agree to these Terms of Service, you must not access or use the Vibecode.

The Vibecode is currently provided on a beta (experimental) basis, as further described in these Terms of Service.

1. Definitions

In addition to the terms defined elsewhere in these Terms of Service, the following terms have the meanings given below:

  1. “Vibecode” — the Alaio Vibecode functionality, together with any related documentation.

  2. “Vibe credits” — an internal unit of account that measures the volume of the Vibecode functionality consumed by Users. Vibe credits are consumed as the extended functionality of the Vibecode is used, and such functionality may be used only to the extent of the available Vibe credits balance. Vibe credits are not money or a means of payment and may be used solely within the Vibecode, as further described in the Vibe credits section.

  3. "Alaio" (also "we", "our", "us") — Alaio Cloud Limited, Frema House, office 102, No. 9, Constantinou Paparigopoulou Str., 3106, Limassol, Cyprus, the legal entity that operates and provides the Vibecode to Users and enters into these Terms of Service with you.

  4. "Administrator" — the Customer, or a User acting on behalf of the Customer, who holds administrative privileges within the Bitrix24 Customer Account, including the right to manage other Users' access to and rights within the Vibecode.

  5. “AI Agent” — a composite software solution that may include one or more artificial intelligence models; additional software components, tools and connectors that enable interaction with the external environment; and settings, rules (prompts, access policies) and configurations that determine the behavior, permissions and limitations of the AI Agent.

  6. “AI Tools” — the set of artificial-intelligence-based software solutions implemented within the Vibecode, including AI Agents, made available for use through the functionality of the Vibecode.

  7. “AI Service” — third-party artificial-intelligence-based software products, including AI agents, used by Users to develop and generate Applications (including program code) intended to interact with the Bitrix24 Customer Account by means of the Vibecode functionality.

  8. “Application” — a computer program (in whole or as separate components) created by a User using AI Services, including, but not limited to, a program intended to interact with the Bitrix24, and including any extension of the Application’s functionality by means of AI Tools connected through the functionality of the Vibecode.

  9. "Bitrix24" — the Bitrix24 service, which allows users to communicate, collaborate, and create in a secure and accessible virtual, cloud-based environment, as governed by the Bitrix24 Terms of Service available at https://www.bitrix24.com/terms/.

  10. "Bitrix24 Customer Account" — the account for accessing Bitrix24 that an Administrator creates, comprising Bitrix24 itself, including any Additional functions, all User Accounts, all Administrator User Accounts, uploaded user content and personal information, and other related information, having a specified domain name, within which the Customer's Users and their access are managed.

  11. “Workspace” — a User’s personal area within the Vibecode associated with the specific Bitrix24 Customer Account under which the User has authenticated in the Vibecode.

  12. “Content” — code, information, an Application and/or other materials generated, individually or jointly, by an AI Agent.

  13. "Customer" (also "you" or "your") — the legal entity on whose behalf the Vibecode is accessed and used and that enters into these Terms of Service.

  14. “Demo access” — a limited period during which the Administrator is given access to the full functionality of the Vibecode in order to evaluate and test it.

  15. “Rights Holder” — the person holding the exclusive or other lawful right to the relevant AI Tool or AI Service, as identified in the terms governing the use of the relevant artificial-intelligence-based software products.

  16. "Service Plan" — a commercial subscription plan for Bitrix24 offered by Alaio, with the fees and functionality set out in the Pricing section.

  17. “Technology / AI Model” — the combination of artificial-intelligence methods, algorithms and software, including AI models. A Technology, as an underlying artificial-intelligence model, is not in itself an AI Agent and is not capable of independently performing actions beyond generating text or predictions or processing input data. A Technology cannot install programs, execute commands or interact with the external environment without the additional software layers provided as part of an AI Agent.

  18. "Trial Version" — a version of Bitrix24 made available for a limited period and with limited functionality, provided solely for the Administrator to evaluate and test it.

  19. “User” — a user of the Bitrix24 Customer Account, other than an extranet user, who has authenticated in the Vibecode at least once. A User’s rights within the Vibecode are determined by the functionality of the Vibecode and the settings configured by the Administrator.

  20. "User Account" — the personal account that a User creates and uses to sign in, the use of which is governed by the Bitrix24.Network Terms.

  21. “Vibe credits Accounting System” — the information displayed in the interface of the Vibecode that records and maintains the accounting, accumulation and storage of the technical indicators on the basis of which Vibe credits are consumed in order to use the extended functionality of the Vibecode.

2. Description of the Service; Acceptance of these Terms of Service

  1. These Terms of Service are a legal agreement between you, the Customer, and Alaio, regarding your access to and use of the Vibecode.

  2. The Vibecode enables Users to generate, build and integrate Applications and to use AI Tools and AI Agents in connection with the Bitrix24 Customer Account.

  3. By accessing or using the Vibecode, you agree to be bound by and to accept these Terms of Service and all terms and conditions contained or referenced herein.

  4. Alaio may update these Terms of Service from time to time. In the case of major changes, you will be provided with advance notification through a prominent notice within the Vibecode and/or by email as set out in the Contact Information section. Your continued use of the Vibecode indicates your agreement to the changes.

  5. Alaio reserves the right to make changes to, terminate, or restrict access to the Vibecode at any time, at its sole discretion.

3. Provision of the Service; Eligibility

  1. Access to and use of the Vibecode is available only to a Customer that is a legal entity and either holds an active commercial Service Plan or has been granted a Trial Version of a commercial Service Plan. The Vibecode is not intended for personal, family or household use.

  2. You shall use the Vibecode only in the geographies supported by Alaio (the "Territories"). The Territories cover all countries worldwide except: Armenia, Azerbaijan, Belarus, Georgia, Kazakhstan, Kyrgyzstan, Moldova, the Russian Federation, Tajikistan, Turkmenistan, Ukraine, and Uzbekistan.

  3. Alaio may deny access to, and terminate the use of, the Vibecode if it determines that you are using it outside the Territories.

  4. The processing of personal data in connection with the Vibecode is governed by the Data Protection section of these Terms of Service and the Privacy Policy referenced therein.

  5. The Bitrix24 AI Tools Terms of Use form an integral part of these Terms of Service to the extent applicable.

4. Authentication. Account. Administrator

  1. To use the Vibecode, a User must sign in their User Account using their account login and password and select the relevant Bitrix24 Customer Account.

  2. On registration, Users choose their own login (a unique character name) and password for access to their User Account. Alaio may prohibit the use of certain logins and set requirements for logins and passwords, including their length and permitted characters. You shall choose a personal, non-transferable password.

  3. Upon registration, a User undertakes to submit accurate, current, and complete information requested in the registration form and to keep such information updated. If a User submits information that is inaccurate, or if Alaio has reasonable grounds to believe that the information provided is incomplete or inaccurate, Alaio may, at its discretion, suspend or delete the account and restrict access to the Vibecode.

  4. Users are solely responsible for keeping their password secure and confidential. User Accounts may not be shared or used by more than one individual. You are solely responsible for any and all activities that occur under your User Account, whether or not authorized by you, including where access credentials to the User Account are voluntarily transferred to, or not kept confidential from, third parties on any terms (including under any contract or agreement). All activities that occur under a User’s User Account are deemed to have been performed by that User, except for those occurring after Alaio receives, in the manner set out in this section, notice of unauthorized use of the Vibecode under the User Account or of any actual or suspected breach of password confidentiality.

  5. You must notify Alaio immediately of any unauthorized access to the Vibecode using a User Account and/or any actual or suspected breach of password confidentiality. For security purposes, Users must safely sign out of their User Account at the end of each session of using the Vibecode. Alaio is not liable for any loss of data or other consequences of any kind that may result from your breach of this section.

  6. You agree to provide Alaio, on request, with accurate and complete information identifying you as the Customer, including the legal entity’s name, registration details, and contact information, where this is necessary to confirm that use of the Vibecode is lawful and compliant with applicable law. Such requests are sent through the communication channels specified in these Terms of Service specified in the Contact Information section. If you do not provide this information within the period stated in the request, this constitutes a material breach of these Terms of Service.

5. Scope of the Vibecode Functionality

  1. The right to use the Vibecode is made available on a standard basis, providing access to the basic functionality of the Vibecode, and on an extended basis, providing access to the extended functionality of the Vibecode.

Standard functionality

  1. The standard functionality of the Vibecode includes the following features:
  1. the creation and use of access keys to interact with the Vibecode functionality and/or AI Services;

  2. the ability to integrate Applications created by Users with the Bitrix24 Customer Account.

  1. Under the standard functionality, you are provided with access to the AI beta version of the Vibecode for an unlimited period without payment, provided that an active commercial Service Plan (or a Trial Version of a commercial Service Plan) is maintained for the Bitrix24 Customer Account.

Extended functionality

  1. The extended functionality of the Vibecode includes the following features:
  1. access to the Vibecode functionality involving the use of computing resources, including server capacity, in the amount and on the terms provided in these Terms of Service, the applicable tariffs and/or the interface of the Vibecode;

  2. access to the Vibecode functionality enabling a User to use the Vibecode’s AI Tools in Applications created by the User, by means of access keys, in order to perform analytical, computational and other tasks;

  3. access to the functionality enabling the connection of AI Agents to the Bitrix24 Customer Account.

  1. The Vibe credits Accounting System records the volume of the extended functionality consumed, as referred to above.

  2. Alaio determines the available amounts (denominations) by which the Vibe credits balance may be topped up, as well as the applicable terms of payment.

  3. Vibe credits acquired by the Customer remain valid for twelve (12) months after the date they are credited, or until they are fully consumed, whichever occurs first. Any unused Vibe credits are forfeited on expiry, and the extended functionality may no longer be used until further Vibe credits are acquired.

  4. If the Customer acquires additional Vibe credits while previously acquired Vibe credits remain available, the Vibe credits are consumed in the order in which they were acquired, with the earliest-acquired Vibe credits consumed first.

6. AI Beta Version

  1. Within the AI Beta version of the Vibecode, you may test and evaluate whether the Vibecode meets your needs. For this purpose, upon a Customer's first authentication in the AI Beta version, Alaio may, on a one-time basis, grant the Customer Demo access without charge, including 1,000 (one thousand) Vibe credits.

  2. Demo access ends on the earlier of: (a) full consumption of the 1,000 Vibe credits; or (b) expiry of the limited period for which Demo access is granted. Any Vibe credits not consumed by the end of Demo access expire in accordance with the expiry rule for Vibe credits, and the extended functionality may be used again only upon acquisition of new Vibe credits.

  3. You must independently monitor the extended functionality of the Vibecode connected by your Users, as such functionality may involve the storage of data (use of server capacity) and in any event constitutes continued use of the Vibecode until the Application is deleted and the relevant functionality ceases to be used. In such cases, you must pay the applicable fees in accordance with the Vibe credits Accounting System.

  4. Any functionality offered on a beta or experimental basis is provided “as is”, may change at any time and may be modified or discontinued at Alaio’s sole discretion without prior notice. Alaio does not guarantee that any beta functionality will be made generally available.

  5. Beta functionality is provided without any service-level commitments. Alaio does not guarantee any level of availability, uptime, performance, or support for beta functionality.

  6. Alaio may end the beta program at any time, in whole or in part, without notice, and is under no obligation to release any beta functionality on a general availability basis.

  7. To the fullest extent permitted by applicable law, Alaio is not liable for any loss or damage arising from the use of, or inability to use, any beta functionality.

7. Vibe credits

  1. Vibe credits are an internal unit of account used to measure the Vibecode functionality Users consume and to access functionality within the Vibecode. They have no monetary value outside the Vibecode and exist only to track and enable usage within it.

  2. Vibe credits are not money, electronic money (e-money), a stored-value instrument, a security, a digital or virtual asset, or any other financial instrument or means of payment. They do not represent a balance of funds, a deposit, or any claim to a refund or to cash.

  3. Vibe credits operate on a closed-loop basis: they can be used only within the Vibecode, only to access functionality made available by Alaio, and cannot be exchanged for cash, transferred to anyone else, or used to obtain goods or services from third parties.

  4. Vibe credits are credited to your balance and displayed in the interface of the Vibecode once payment for them has been received and the funds are credited to Alaio’s account. Access to the extended functionality of the Vibecode is available only to the extent of the Vibe credits so credited, in accordance with these Terms of Service, unless another procedure is provided in these Terms of Service or determined separately by Alaio. Until confirmation of payment is received, Alaio may withhold the rights or provide Vibe credits on a limited basis.

  5. When the Vibecode functionality is used, Vibe credits are deducted from the balance based on actual usage. The number of Vibe credits deducted depends on the functionality used, including factors such as: (a) the AI Tool used; (b) the amount of data processed (input and output); (c) the type, capacity and duration of the computing resources used; and (d) other technical parameters of usage. Current Vibe credits consumption and the remaining balance are shown in the Vibe credits Accounting System within the interface of the Vibecode.

  6. Information on how Vibe credits are consumed and on how Vibe credits correspond to the functionality of the Vibecode is made available to Users through the interface of the Vibecode or by other means.

  7. You agree that Alaio may unilaterally change the computing-resource settings configured by you for the period necessary for maintenance and for optimizing the operation of the Vibecode and Alaio’s equipment and network, without prior and/or subsequent notice. Alaio does not provide any compensation of Vibe credits and/or fees for such period.

  8. You acknowledge that the Vibe credits Accounting System is the definitive record of Vibe credits consumption, and that the volume of usage is determined on the basis of its data.

  9. Alaio may change how Vibe credits are consumed, how Vibe credits correspond to the functionality of the Vibecode, and other parameters of their use. Such changes take effect when published, unless otherwise stated at the time of publication.

  10. Vibe credits expire twelve (12) months after they are credited. Any unused Vibe credits are forfeited on expiry.

  11. Unused Vibe credits are not compensated or refunded to you.

8. Terms of Use of AI Tools and Limitations

  1. It is your sole responsibility to decide whether to use the Vibecode, including the AI Tools, and you are responsible for how you use them and for the results of that use, including towards third parties. This includes responsibility for compliance with applicable law and with the requirements and restrictions of Rights Holders.

  2. When using AI Agents, you agree that:

  1. AI Agents have no legal personality, and their actions are always treated as the actions of the User who deployed (launched) the AI Agent, including in cases where the AI Agent performs unwanted actions contrary to the User’s intent, for instance: where a third party manipulates it through a specially crafted request; where its behavior is influenced by malicious content in external sources such as web pages, documents or emails; where access rights are misconfigured in a manner that may damage data or systems; or where it begins sending messages on the User’s behalf in a manner that may cause harm. In each such case, the actions remain those of the User;

  2. an AI Agent may take actions, such as generating code or integrating with other services, without a direct request from the User who deployed (launched) it;

  3. the User is responsible for controlling the actions of AI Agents within its accounts;

  4. you accept responsibility for, and the risks of, interacting with an AI Agent and granting it access to any information; and

  5. on connection, an AI Agent receives the same access to information as the User’s account has.

  1. When using a particular AI Tool or AI Service, you must refer to the current terms governing the use of the relevant Technology and/or software solution, as Rights Holders may amend them, introduce new restrictions, or change how data, including personal data, is processed. By using an AI Tool or AI Service through a Technology, you confirm that you have read, agree to, and accept the terms of use of the connected Technology and/or software solution.

  2. The Vibecode’s AI Tools operate automatically upon access to the relevant functionality of the Vibecode, or in accordance with the settings configured by the User. AI Services are not part of the Vibecode and are launched by the User independently, from the moment the User provides the relevant instruction and access keys. Their operation may be automatic; however, such actions are deemed to be performed by the User.

  3. Specific features of the use of Content. You understand and agree that:

  1. Content is generated in response to a request, which may be formed both when the User enters data and as a result of AI Tools working within the Vibecode functionality, including automatically, or through AI Services;

  2. Content may not be unique, due to the nature of machine learning of the Technologies, and other users may receive the same or similar Content where the input data of their requests coincide. Content requested by and generated for other users is not considered your Content;

  3. Content may not reflect real facts;

  4. Content may include watermarks or other marks and/or labels generated automatically and/or indicating that the Content was created (generated) using AI Services or AI Tools. The use of technical means to remove, alter or conceal such marks is prohibited. When distributing Content that requires labelling under applicable law, you undertake to carry out such labelling yourself;

  5. Alaio does not create or modify Content, and does not initiate the creation or placement of Content. Alaio does not and cannot be expected to have any knowledge of the possible unlawfulness of your requests or Content, including any infringement of third-party rights or applicable law. Alaio cannot be regarded as the initiator of any Content; the User is solely considered the initiator of Content when using the Vibecode functionality that enables AI Tools;

  6. Content may be used by Rights Holders, including to develop and improve their AI Tools and AI Services, in accordance with the terms of use of the relevant AI Tool or AI Service;

  7. your rights in Content arising from the use of an AI Tool or AI Service are governed by the terms of use of the relevant Technology.

  1. AI Tools are provided “as is” and “as available”, without warranties of any kind. Alaio does not warrant the accuracy, completeness, reliability, or fitness for any particular purpose of the AI Tools or any Content.

  2. An AI Agent connected through the Vibecode may be a third-party development. The User determines, at its own discretion, the AI Agent and the Technology it uses, and is responsible for reviewing and complying with the terms and documentation provided by the relevant developer before connecting it.

  3. You may not use the AI Tools:

  1. in any way that breaches applicable law, third-party rights, or the terms of use of the relevant Technology. This includes presenting Content as human-created where it is not, and any other breach of the policies or terms of use set by Rights Holders or by applicable law;

  2. for fully automated decision-making that produces legal or similarly significant effects for individuals without human involvement;

  3. to reverse engineer, decompile, disassemble, translate, or otherwise attempt to obtain the source code, algorithms, or components of the Technologies, or to extract the underlying models;

  4. to use Content generated by the AI Tools to create, synthesize, or reproduce comparable content (including voice, performances, or images) outside the AI Tools provided in the Vibecode;

  5. to synthesize new performances or other content based on previously generated Content, unless expressly permitted by the terms of the relevant AI Tool;

  6. to develop services or products that compete, or may compete, with the AI Tools, except as permitted through the AI Tools’ API;

  7. to extract data or outputs from the AI Tools by any automated or programmatic means, including scraping or data harvesting;

  8. to create, distribute, or use Content that infringes third-party rights, including rights to image, voice, personal data, and copyright and related rights;

  9. to generate or distribute false information or Content, or personal information that may be used to harm third parties or to discredit, humiliate, or otherwise harass them. This includes discriminating against or harming individuals or groups based on their social behavior, whether online or offline, or on known or predicted personal characteristics;

  10. in areas requiring heightened accuracy and reliability, including law enforcement and similar areas, without additional human verification of the results.

  1. When using the AI Tools, you agree to, and are responsible for:
  1. informing third parties that they are interacting with AI Tools where required by applicable law and/or the terms of the relevant Technology;

  2. complying with applicable law, including on personal data and automated decision-making, and for the lawfulness of your use of Content and the absence of any infringement of third-party rights;

  3. configuring, managing, and operating the AI Agent, determining its rights and permissions, and setting up its security. You determine which models, tools, and services the AI Agent uses and the scope of access granted to it;

  4. ensuring you have the legal grounds (including any data-subject consents) to transfer to, and have processed by, Alaio and the Rights Holder of the relevant Technology the information used in the operation of the AI Tools. You are responsible for the transfer of personal data and for the consequences of its processing by Alaio and the Rights Holder;

  5. the consequences of the operation of AI Agents and of the use of Content generated through them.

  1. To the fullest extent permitted by applicable law, and in addition to the limitations of liability elsewhere in these Terms of Service, Alaio is not liable for:
  1. any damage, or any loss of revenue, profit, information, or savings, arising from the use of, or inability to use, the AI Tools or Content;

  2. any compromise of, or third-party access to, information belonging to the User, including legally protected information, in connection with the use of AI Tools or AI Services;

  3. the actions, decisions, or recommendations produced by AI Tools or AI Services, including AI Agents, or whether they meet the User’s expectations;

  4. actions taken by an AI Agent to create, install, configure, or remove Applications, and any consequences of those actions;

  5. whether an AI Agent’s settings comply with legal requirements or security policies;

  6. the consequences of an AI Agent’s use of external services, APIs, or tools connected by the User.

9. Use of the Vibecode by You and Your Users. User Responsibility

  1. The Administrator has rights to manage Users’ access within a particular Bitrix24 Customer Account when they use the Vibecode, including, without limitation, the right to:
  1. determine which Users have access to the Vibecode;

  2. grant and define Users’ rights within the Vibecode, including which categories of Users may create servers, use particular AI Tools, or create Applications;

  3. revoke Users’ access keys, thereby terminating the functionality they provide;

  4. set limits on Users’ use of the Vibecode functionality, including but not limited to the number of access keys per User, the permitted number of requests per access key, the maximum number of servers per User, the maximum number of AI Tools per User, and the validity period of access keys.

  1. If a User is dismissed from the Bitrix24 Customer Account, that User loses the ability to authenticate in the Vibecode for that Bitrix24 Customer Account, along with access to all Applications integrated with this Bitrix24 Customer Account and to the extended functionality of the Vibecode provided within it. You are solely responsible for resolving any questions of ownership rights in Applications and any other matters concerning intellectual property and data remaining in the Bitrix24 Customer Account and the Vibecode.

  2. You understand and agree that actions performed by Users in the course of using the Vibecode are deemed to be performed with your authorization, and that you are responsible for them.

  3. You understand and agree that you integrate Applications with the Bitrix24 Customer Account at your own discretion and at your own risk. Alaio does not control the operability, content, or legal compliance of Applications, and is not liable for the results of installing, integrating, or using Applications, including their functionality after integration. Without prejudice to any other limitations of Alaio's liability under these Terms of Service, Alaio does not compensate any damage caused by the use of, or inability to use, any Applications whose rights holders are third parties.

  4. A User may publish an Application in the application catalogue within the Vibecode and grant other Users of the Bitrix24 Customer Account access to it. Whenever an Application is made available, the User must provide, together with it, a user agreement and a privacy policy that govern the use of the Application and comply with applicable law. The User must embed these documents within the Application so that the Application cannot be used until the user has accepted their terms.

10. Unlawful or Prohibited Use

  1. Neither you nor your Users may use the Vibecode in any manner that breaches, or leads to a breach of, applicable law.

  2. Users may not take any action that may result in:

  1. disruption of Alaio’s equipment or network;

  2. disruption of the operation of the Vibecode, or restriction of other Users’ ability to use it;

  3. unauthorized access to the Vibecode or to Alaio’s information, computing, or network resources;

  4. harm or the threat of harm to third parties, or infringement of their rights, including by posting information and/or links to network resources whose content infringes third-party rights; or

  5. a breach or risk of breach of applicable law.

  1. You may not modify, alter, or change the Vibecode or its design and appearance in any way.

  2. You are responsible for ensuring that you have equipment meeting the technical requirements for using the Vibecode, as well as access to the Internet.

  3. You warrant that you have all rights necessary in respect of the data, computer programs, and services you use in connection with the Vibecode, and that such use does not infringe third-party rights.

  4. You may not use the Vibecode in any manner other than as set out in these Terms of Service, nor copy, sell, resell, or transfer it or access to it to third parties, except where you have obtained Alaio’s permission to do so.

  5. Alaio may temporarily restrict access, in whole or in part, to the Vibecode or any of its functionality in the event of excessive load on the infrastructure or resources used to operate the Vibecode.

  6. Alaio may, at its sole discretion and without notice, restrict, suspend, or disable access to any Application where Alaio has reasonable grounds to believe that it breaches applicable law, infringes third-party rights, or causes or threatens harm to third parties, Alaio, or the Vibecode.

11. Intellectual Property

  1. Intellectual property rights in the Vibecode form part of Alaio’s Intellectual Property. The algorithms and source code of the Vibecode (including any parts thereof) constitute confidential and proprietary information of Alaio. Any use of the Vibecode in breach of these Terms of Service constitutes a breach of these Terms of Service.

  2. Alaio disclaims any proprietary interests in intellectual property rights other than Alaio's Intellectual Property, including without limitation the Content, the Applications, and any AI Tools, AI Services, and Technologies owned by Rights Holders or other third parties.

  3. You may not remove or obscure any copyright, trademark or patent notices contained in the Vibecode.

12. Customer Care

  1. Alaio provides Customer Care to Users in accordance with the procedures set out in the Support Section. Customer Care is provided without any additional fees. To provide Customer Care, Alaio may request that a User provide information relating to their User Account, the technical specifications of their equipment, and other information necessary to provide Customer Care.

  2. Alaio may suspend or restrict Customer Care for a User who breaches these Terms of Service or any related documents.

13. Modifications. Limits and Technical Limitations

  1. You recognize and agree that, in relation to the Vibecode or any part thereof (including any of its features), Alaio has the right from time to time, as it deems appropriate and at its discretion:
  1. to set technical limitations and usage limits necessary to optimize the operation of the Vibecode, as well as Alaio's equipment and network (including, but not limited to, the number of Users, server capacity, the number of access keys, AI Tools, AI Agents, and Applications), without prior and/or subsequent notice;

  2. to change, enhance, upgrade, improve, or modify the functionality of the Vibecode. These modifications may take the form of enhancing or removing features, adding new modules, changes in the user interface, updates, bug fixes, or other forms, as well as changes that reflect imposed regulatory or statutory rules and standards.

  1. Such updates, modifications, limits, and technical limitations are determined by Alaio in its reasonable judgment and can be made without prior notice.

  2. None of these actions can be regarded as, and is not recognized by the parties as, a significant change in these Terms of Service.

  3. These Terms of Service apply to all updates provided to you, unless, upon updating the Vibecode, you are offered to review and accept new terms or supplements to these Terms of Service.

14. No Warranties. Limitation of Liability. Disclaimers

  1. The Vibecode, including all its features and documentation, is provided “as is” and “as available”, on a beta (experimental) basis. Alaio expressly disclaims any representations or warranties of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, and non-infringement as to the operation of the Vibecode. Alaio does not warrant that the Vibecode or any of its features will meet your expectations or be fit for your particular purpose.

  2. Alaio does not initiate or control the placement by a User of any information in the course of using the Vibecode, does not influence its content or integrity, and at the moment of placement does not know and cannot know whether it infringes the rights and interests of third parties or applicable law.

  3. Nothing in these Terms of Service excludes or limits Alaio's liability for: (a) death or personal injury caused by its negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law.

  4. Subject to sub-section 3, and to the fullest extent permitted by applicable law, Alaio shall not be liable, whether in contract, tort (including negligence), or otherwise, for any loss of profits, revenue, business, anticipated savings, data, or goodwill, or for any indirect, special, or consequential loss, arising out of or in connection with these Terms of Service or the use of, or inability to use, the Vibecode.

  5. Subject to sub-sections 3 and 4, Alaio's total aggregate liability arising out of or in connection with these Terms of Service shall not exceed the total amount paid by the Customer to Alaio for the Vibecode in the two (2) months preceding the event giving rise to the liability, or 1,000 US dollars, whichever is less.

  6. Where a User places any information in the Vibecode, the User must comply with applicable law and the rights and legitimate interests of Alaio and third parties, and bears sole responsibility and any adverse consequences that may arise as a result of placing such information in the Vibecode.

  7. Any action brought against Alaio in connection with the Vibecode must be commenced and notified to Alaio in writing within one (1) year after the date the cause of action arose.

15. Your Warranties

  1. You warrant that: (i) all information you provide to Alaio in connection with the Vibecode is true, accurate, and up to date; (ii) you have full power and authority to enter into these Terms of Service, including when acting on behalf of a legal entity; (iii) you will perform your obligations under these Terms of Service in accordance with applicable law; and (iv) any content or Applications you make available to other Users or end users, and that are not provided by Alaio, do not infringe third-party rights, constitute defamation or obscenity, promote violence or hate speech, or otherwise breach applicable law.

16. Indemnification

  1. You hereby agree to indemnify and hold harmless Alaio, its affiliates, licensors and licensees, and its officers, directors, agents, and employees, from any expense, loss, claim, damage, fine, penalty or liability, including reasonable fees for attorneys and other professionals, payable under any judgment, award or settlement, to the extent resulting from any claim, demand, action, suit, arbitration, or other proceeding initiated by any third party, arising out of your breach of these Terms of Service.

17. Suspension and Deletion of the Account

  1. Use of the Vibecode is contingent on a User having access to their User Account.

  2. Alaio may suspend a User’s account for breach of these Terms of Service or any related documents.

  3. A User may request deletion of their account in accordance with the procedure set out in the Bitrix24.Network Terms.

  4. If Users breach these Terms of Service, or if Alaio has reasonable grounds to believe that Users’ actions may lead to a breach of these Terms of Service, Alaio may, at its sole discretion and without notice, take measures to detect and stop or prevent the breach, including by:

  1. suspending and/or deleting the User Account in the manner set out in these Terms of Service; and

  2. restricting the right to Customer Care and to receive updates of the Vibecode.

18. Term and Termination

  1. The term of these Terms of Service begins when you start using the Vibecode and continues in perpetuity so long as you continue to use the Vibecode, unless terminated by Alaio or you.

  2. Alaio may amend these Terms of Service unilaterally by publishing the amended text at vibecode.bitrix24.com/legal/terms. By continuing to use the Vibecode, you confirm your acceptance of these Terms of Service in the version in effect at the time of your actual use of the Vibecode.

  3. Alaio may terminate these Terms of Service unilaterally upon at least ten (10) calendar days’ notice to the User, without reimbursing any fees, costs, or losses.

  4. Without prejudice to any other rights, Alaio may, unilaterally, without prior notice or explanation and without reimbursing any fees, costs, or losses, cease performance of these Terms of Service by terminating access to the Vibecode in whole or in part, including in the following cases:

  1. Users breach the terms of use of the Vibecode set out in these Terms of Service;

  2. third-party software, services, or technologies used for the operation of the Vibecode terminate or substantially change their provision terms;

  3. there are amendments to applicable law or regulations of state bodies affecting Alaio and/or its affiliates that render provision of access to the Vibecode impossible or excessively difficult;

  4. force majeure circumstances arise.

  1. Upon termination of these Terms of Service, Users must cease all use of the Vibecode.

19. Force Majeure

  1. Except for payment obligations, neither party will be responsible for any failure or delay in performing its obligations under these Terms of Service to the extent such failure is caused by a force majeure event, including natural disasters; natural or industrial catastrophes; acts of terrorism; acts of war; civil disturbances; the adoption by governmental or local authorities of acts containing prohibitions or restrictions on the parties’ activities under these Terms of Service; or other circumstances arising after acceptance of these Terms of Service as a result of extraordinary events that the parties could not foresee or prevent and that make performance impossible.

  2. The party affected by a force majeure event must notify the other party within a reasonable time, and must likewise notify the other party when the force majeure event concludes. The party that has failed to perform its obligations due to a force majeure event must, where possible, resume performance immediately upon the conclusion of such circumstances.

20. Data Protection

  1. All Personal Information that Alaio may use will be collected, processed, and held in accordance with the provisions of all applicable national, governmental, quasi-governmental and/or local data protection laws and regulations, including but not limited to EU Regulation 2016/679 General Data Protection Regulation ("GDPR") (together, "Data Protection Legislation"), and in accordance with our Privacy Policy (the "Privacy Policy") available at https://vibecode.bitrix24.com/legal/privacy.

  2. Please read the Privacy Policy, which describes how Alaio collects, uses, discloses, manages, and stores users' Personal Information.

  3. You are responsible for, and must secure, all necessary notices, permissions, and consents to collect, use, and share people's content and information, including maintaining a published privacy policy, and otherwise complying with applicable law.

  4. If you are a visitor, user or customer of any of our users, and would like to make any requests or queries regarding your Personal Information, please contact such user(s) directly. For example, if you wish to access, correct, amend, or delete inaccurate information, please direct your query to the relevant User (who is the "Controller" of such data). If requested to remove any users-of-users Personal Information, Alaio will respond to such request within thirty (30) days.

21. Export Control and Compliance with Laws

  1. The Vibecode is subject to the United States and European Union export controls and economic sanctions laws and regulations, including but not limited to, the United States Export Administration Regulations ("EAR"), regulations promulgated by the US Department of the Treasury's Office of Foreign Assets Control ("OFAC"), and regulations promulgated by the Council of the European Union ("EU"). You acknowledge and agree that the Vibecode may not be exported or re-exported (i) into (or to a national or resident of) embargoed country or region (currently: Crimea Region of Ukraine and Covered Regions of Ukraine - Donetsk People's Republic (DNR) and Luhansk People's Republic (LNR), Russian Federation, Belarus, Cuba, Iran, North Korea, and Syria) or any other embargoed and restricted countries or territories as may be amended from time to time in accordance with legislation in force; or (ii) to any blocked or denied person, or prohibited end-user under OFAC's list of Specially Designated Nationals, EAR's lists or the EU regulations. By using the Vibecode you represent and warrant that you are not located in, under the control of, or a national or resident of any such embargoed or restricted country or territory or not named on any such list.

  2. You and Alaio agree to comply with applicable export controls and sanctions laws and regulations, and all other laws, rules, and regulations applicable to the parties under these Terms of Service. You agree to notify Alaio immediately, in case you or any of your personnel employed by or affiliated with you become subject to any export control and sanctions regulations. Alaio reserves the right to restrict access to the Vibecode at any time without notification or liability in accordance with such laws and regulations.

22. Severability

  1. These Terms of Service will be enforced to the fullest extent permitted by applicable law. If any provision of these Terms of Service is held to be invalid or unenforceable under applicable law to any extent, then (a) such provision will be interpreted, construed or reformed to the extent reasonably required to render it valid, enforceable and consistent with the original intent underlying it, and (b) such invalidity or unenforceability will not affect any other provision of these Terms of Service, which will continue in full force and effect.

23. Assignment

  1. Alaio may assign or delegate these Terms of Service, in whole or in part, to any person or entity at any time, subject to prior notification. You may not assign or delegate any rights or obligations under these Terms of Service without Alaio’s prior written consent, and any unauthorized assignment or delegation by you is void and ineffective.

24. Waiver

  1. The waiver by any party of any breach of these Terms of Service does not waive any other breach. No failure to exercise, or delay in exercising, any right, remedy, power, or privilege arising from these Terms of Service will operate or be construed as a waiver thereof; nor will any single or partial exercise of any right, remedy, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege.

25. Right to Audit

  1. During the term of these Terms of Service, Alaio may audit the way you use the Vibecode to ensure compliance with these Terms of Service, upon reasonable prior notice, and may require you to present a usage report, with no interference in your business operations.

  2. Notwithstanding the foregoing, the parties agree that Alaio may conduct an audit at any time in the event of (i) audits required by governmental or regulatory authorities, (ii) investigations of claims of misappropriation, fraud, or business irregularities of a potentially criminal nature, or (iii) Alaio reasonably believing that an audit is necessary to address a material operational problem or issue that poses a threat to its business. You shall cooperate in any such audit.

26. Applicable Law

  1. These Terms of Service, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, their subject matter or formation, shall be governed by and construed in accordance with the law of England and Wales, without regard to its conflict-of-laws rules.

27. Dispute Resolution

  1. Most disputes can be resolved without resorting to formal proceedings. If a dispute arises out of or in connection with these Terms of Service, before commencing arbitration the parties shall first attempt to resolve it amicably: you should submit written notification to Alaio at the contact address specified in these Terms of Service, stating a description of the dispute and any other necessary information (the “Notice of Dispute”). The parties shall make good-faith efforts to resolve the dispute by mutual agreement within thirty-five (35) business days following receipt of the Notice of Dispute.

  2. Any dispute, controversy or claim arising out of or in connection with these Terms of Service, including any question regarding their existence, validity or termination, that is not resolved under the preceding paragraph, shall be referred to and finally resolved by arbitration under the Arbitration Rules of the London Court of International Arbitration (the “LCIA Rules”), which Rules are deemed to be incorporated by reference into this section. The seat, or legal place, of arbitration shall be the Abu Dhabi Global Market (ADGM), United Arab Emirates. The number of arbitrators shall be one. The language of the arbitration shall be English.

  3. Nothing in this section prevents either party from seeking interim or conservatory relief (including injunctive relief) from a court of competent jurisdiction or from the arbitral tribunal, before or during the arbitration, to protect its rights pending resolution of the dispute.

28. Individual Nature of Arbitration

  1. The parties agree that any arbitration under these Terms of Service shall be conducted only on an individual basis and not as a class, collective, consolidated, or representative proceeding. The arbitrator shall have no authority to consolidate the claims of more than one party, or otherwise to preside over any form of class, collective, or representative proceeding. Each party waives any right to assert claims against the other as a representative or member in any class or representative action, except where such waiver is prohibited by applicable law.

29. Contact Information

  1. Alaio may send you legally significant notifications (including those connected with these Terms of Service) through: (1) a prominent notification inside the Vibecode; (2) the email indicated in the Administrator's profile in the Bitrix24 Customer Account; or (3) the email provided upon acceptance of these Terms of Service. The Administrator must keep their email accurate and up to date. Alaio is not liable for the Administrator’s inability to receive any significant notifications.
